Terms of Service
The agreement between Proxeum and the organizations that use it, covering accounts, customer data, acceptable use, and the limits of our obligations.
If a customer has a signed agreement with Proxeum, for example a pilot or subscription agreement, that agreement controls wherever it differs from these Terms.
Agreement
These Terms of Service (“Terms”) are an agreement between Proxeum, Inc. (“Proxeum,” “we,” “us”) and the organization that signs up for Proxeum (“Customer”), and they apply to every person who uses the Service on the Customer’s behalf (“Users”). By using Proxeum at app.proxeum.com (the “Service”), you agree to these Terms. If you accept them for an organization, you confirm you have authority to do so.
The Service
Proxeum is a project and portfolio management platform for healthcare organizations. We may add, change, or remove features over time. Features labeled “beta” or “preview” are offered as-is, may change, and may not be covered by any service commitments.
Accounts
- Accounts are created by invitation, sign-up code, or the Customer’s administrators. Customer administrators control who has access and what they can see.
- Users must keep their login details private, use two-step login where available, and tell us or their administrator right away about any unauthorized access.
- If you sign in with Microsoft, your organization’s Microsoft account rules also apply, and your organization can remove your access at any time.
Customer data
- Ownership: the Customer owns the information it and its Users enter into the Service (“Customer Data”).
- Our use: we use Customer Data only to provide, secure, support, and improve the Service, as described in our Privacy Policy and in any agreement with the Customer.
- Export and deletion: the Customer can request an export of its Customer Data. After the account ends, we keep Customer Data for up to 90 days so it can be exported, then delete it, except where the law requires otherwise.
No protected health information
The Service is designed for project and operations work, not patient care. The Customer agrees not to enter protected health information (PHI), as defined under HIPAA, unless the Customer and Proxeum have signed a Business Associate Agreement that covers it.
Acceptable use
Users may not:
- break the law or violate anyone’s rights while using the Service
- try to get into accounts, data, or systems they aren’t authorized to access, or test the Service’s security without our written permission
- upload malware or interfere with how the Service runs
- copy, resell, or reverse engineer the Service, or use it to build a competing product
- use automated tools to scrape or overload the Service
We may suspend access that puts the Service, other customers, or the public at risk. Where reasonable, we will notify the Customer first.
AI features
Some features use artificial intelligence to suggest text, plans, summaries, or tasks. AI output can be inaccurate, so Users should review it before relying on it. The Customer is responsible for decisions made using the Service.
Microsoft 365 and other connected services
If the Customer connects Microsoft 365 (for example, Sign in with Microsoft, Outlook, or Teams) or another third-party service, the Customer’s use of that service is governed by that provider’s terms. Proxeum accesses only what each feature needs. The Customer’s administrators can remove that access at any time.
Fees
Fees, billing terms, and subscription length are set out in the Customer’s order form or agreement with Proxeum.
Confidentiality
Each party will protect the other’s non-public business information with reasonable care, use it only for the purposes of this relationship, and not disclose it except to people who need to know it and are bound by similar obligations, or as required by law.
Intellectual property
Proxeum, Inc. owns the Service, including its software, design, templates, and documentation. Except for the right to use the Service under these Terms, no rights are granted. If you send us feedback or suggestions, we may use them without obligation to you.
Security and availability
We use reasonable administrative, technical, and physical safeguards to protect the Service and Customer Data, as described in our Privacy Policy. We aim to keep the Service available but do not guarantee it will be uninterrupted or error-free. Planned maintenance will be scheduled to limit disruption where possible.
Term and termination
These Terms apply while the Customer uses the Service. Either party may end the relationship as provided in the Customer’s agreement or, if there is none, with 30 days’ written notice. We may suspend or end access immediately for a serious breach of these Terms. Sections that by their nature should continue, such as Customer Data, confidentiality, intellectual property, and limits of liability, survive termination.
Disclaimers
Except as stated in a signed agreement, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the fullest extent the law allows, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Each party’s total liability under these Terms will not exceed the amounts the Customer paid Proxeum in the 12 months before the claim.
Governing law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law rules. Disputes will be resolved in the state or federal courts located in Guilford County, North Carolina.
Changes to these Terms
We may update these Terms. If we make material changes, we will update the effective date and notify Customer administrators at least 30 days in advance. Continuing to use the Service after changes take effect means accepting them.
General
These Terms, the Privacy Policy, and any signed agreement with the Customer are the entire agreement about the Service. If any part is found unenforceable, the rest stays in effect. Neither party may assign these Terms without the other’s consent, except as part of a merger, acquisition, or sale of substantially all assets.
